Please read these Terms of Service (the "Terms") and our Privacy Policy carefully because they govern your use of the myvue website and our artificial intelligence-powered knowledge connection and intelligence services accessible via the website offered by us.

To make these Terms easier to read, the website and our services are collectively called the "Services."

Important notice regarding arbitration for U.S. Customers: When you agree to these Terms you are agreeing (with limited exception) to resolve any dispute between you and myvue through binding, individual arbitration rather than in court. Please review carefully section 13 "Dispute Resolution" below for details regarding arbitration.

Agreement to Terms

By using our Services, you agree to be bound by these Terms. If you don't agree to be bound by these Terms, do not use the Services. If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will also refer to that entity.

Changes to the Terms or Services

We may update the Terms from time to time in our sole discretion. If we do, we'll let you know by posting the updated Terms on the website and/or may also send other communications. It's important that you review the Terms whenever we update them or you use the Services. If you continue to use the Services after we have posted updated Terms it means that you accept and agree to the changes. If you don't agree to be bound by the changes, you may not use the Services anymore. The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by myvue, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

General Prohibitions

You agree not to do any of the following:

• Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden, or impair the functioning of the Services in any manner;
• Violate any applicable law or regulation;
• Use or attempt to use another user's account without authorization;
• Attempt to circumvent any content filtering techniques we employ or attempt to access any feature or area of the Services that you are not authorized to access;
• Develop or use any applications that interact with the Services without our prior written consent;
• Use the Services for any illegal or unauthorized purpose; or
• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm myvue or users of the Services or expose them to liability.

We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice to you. Upon any termination, discontinuation, or cancellation of the Services, all provisions of these Terms which by their nature should survive will survive, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.

Warranty Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MYVUE DOES NOT WARRANT THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.

Indemnity

You will defend, indemnify, and hold myvue, its affiliates, officers, directors, employees, and agents harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the Services, (b) Your Content, or (c) your violation of these Terms.

Limitation of Liability

IN NO EVENT WILL MYVUE OR ITS DIRECTORS, EMPLOYEES, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, OR YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE SERVICES.

Dispute Resolution

For any dispute you have with myvue, you agree to first contact us and attempt to resolve the dispute informally. If myvue has not been able to resolve the dispute informally, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof, through binding arbitration.

General Terms

These Terms constitute the entire and exclusive understanding and agreement between myvue and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between myvue and you regarding the Services.
