Terms of Service

Hello, and thank you for using Myvue. Before you access our Services, please read these Terms of Service ("Terms"). They govern your use of Myvue, LLC, Mimic, and other products and services we may offer for individuals and enterprises, along with any associated apps, software, and websites (collectively, "Services"). These Terms are a contract between you and Myvue LLC ("Myvue") (and not our Providers) and include our Service Terms. By using our Services, you agree to these Terms.

Our Privacy Policy tells you how we collect and use personal information. While it is not part of these Terms, it is still important to read. Our Usage Policy will govern your use of Myvue APIs and any other offerings of Myvue, including services for businesses.

1. Who we are

Myvue is a knowledge, research, and development firm focused on creating secure, reliable, and intuitive knowledge frameworks and AI systems. Our mission is to give enterprises complete visibility into how their organizations operate, revealing the structures, processes, and dynamics that drive how work gets done.

2. Account access and registration

Minimum age

To use Myvue you must be at least 18 years old or the minimum age required to consent to use the Services in your location, whichever is higher. If you are under the age of 18, a parent or legal guardian's permission is required.

Registration

To use our Services, you will have to register to create an account. By using our Services, you agree to provide correct, current, and complete information. This information will allow Myvue to communicate with you about our Services. Our communications to you using your account information will satisfy any requirements for legal notices.

Your Myvue account

You are not allowed to share your account credentials, Myvue API keys, or otherwise make your account available to anyone else. You are responsible for all activity occurring under your account. If you are making an account for someone else (a person or entity), you must have their authority to make an account on their behalf and to accept these Terms. You agree to notify us immediately if you become aware of any unauthorized access to your account by sending an email to support@myvue.io.

Your account may be handled or owned by your employer or another organization. In that case, contact the administrator of your employer or organization to terminate your account.

Enterprise / domain accounts

If your email is owned by an enterprise or another organization, your account will be linked to Myvue's enterprise account. The administrator of that enterprise account will be able to monitor usage and control access. You may receive notification through email that an account has been linked. If you do not personally receive an email, the administrator of your employer or organization has given permission on your behalf. Additional notice may not be provided if the administrator is responsible for notifying you or has previously made you aware that it may modify, control, monitor, or remove your account.

3. Feedback

We appreciate your feedback. You agree that if and when you provide feedback or evaluations freely, we may use it without restriction, permission, or compensation.

4. Using our Services

Allowable use

In accordance with your compliance with these Terms, you may access and use our Services, including our Usage Policy and any guidelines, policies, or supplemental terms we make available regarding the Services (the "Permitted Use"). You are responsible for all activity of your account.

Non-permissible use

You may not access or use, or allow a third party to access or use, our Services for any illegal, harmful, or abusive activity. Specifically, you agree not to:

Content

You may access and use the Services by interacting with Myvue and its products or by submitting data, text, prompts, files, or other materials to the Services ("Input"). The Services may generate responses ("Outputs") and may, where applicable, perform automated operations or execute system-level functions on your behalf — including software manipulation, data processing, knowledge mapping, workflow execution, or integrations with third-party systems (collectively, "Actions") — in each case as configured or initiated by you through your Inputs. Inputs and Outputs collectively are "Content."

Rights and responsibilities

You are solely responsible for Content, including ensuring that your Content and use of the Services comply with these Terms, the Usage Policy, and all applicable laws and regulations. By submitting Inputs or directing the Services to take Actions, you represent and warrant that: (a) you have all rights, licenses, consents, permissions, and lawful authority necessary to provide the Inputs and to authorize the processing of such Inputs under these Terms; (b) such rights include, without limitation, the right to enable integrations with third-party services, to share Content at your direction, and to permit the Services to perform Actions on your behalf; and (c) the submission of Inputs and authorization of Actions will not violate these Terms, the Usage Policy, or any applicable law or regulation.

Ownership of Content

As between you and Myvue, and to the extent permitted by applicable law, you retain all right, title, and interest in and to the Inputs submitted to the Service. Subject to your compliance with these Terms, we hereby assign you all of our right, title, and interest, if any, in and to Outputs generated by the Services from such Inputs.

For clarity, "Outputs" does not include, and customer acquires no rights, title, and interest in, any Services — including underlying software, source code, algorithms, models, system architecture, user interface, knowledge mapping and structuring, formatting, design elements, methods of presentation, or any other Myvue technology used to generate or display the Outputs. Except for the limited assignment expressly set forth above, Myvue retains all right, title, and interest in and to the Services and its underlying technology, including all improvements, modifications, feedback, and derivative works thereof.

Myvue retains all right, title, and interest in and to any aggregated and de-identified data, and in any research, analytics, benchmarking, and resulting industry reports, white papers, or other materials derived from such data. For clarity, no customer Content will be disclosed in identifiable form without customer's prior written consent.

Our use of Content

We may use the Content to provide, maintain, and improve our Services; to develop other products and services; to comply with applicable law; and to enforce our terms and policies and keep our Services safe.

We may also use Content to create aggregated and de-identified data that does not identify, and cannot reasonably be used to identify, any specific company or individual. Such aggregated and de-identified data may be used for research, analytics, benchmarking, and to produce and publish industry reports, white papers, or other materials. Any such publications will not include identifiable information about customer or its business and will only present data in a combined, statistical, or anonymized form derived from multiple sources.

Reliance and accuracy

Artificial intelligence and machine learning technologies are evolving and may produce inaccurate, incomplete, or unintended results. The Services rely in part on data and inputs provided by users or third parties, which may be inaccurate, incomplete, or outdated.

Due to the probabilistic nature of these technologies and potential issues with underlying data, the Services may generate Outputs that contain errors, omissions, or content that does not accurately reflect real people, places, facts, or current information. Actions initiated through the Services may also not be error-free or may not operate as intended. You are responsible for reviewing and validating any Outputs or Actions before relying on them, and Myvue disclaims responsibility for decisions made based on such outputs.

By using the Services, you acknowledge and agree that:

6. Ownership of IP rights and Services

The Services are owned and operated by us and our affiliates, licensors, distributors, and service providers (collectively, "Providers"). All rights, title, and interest in and to the Services, including all intellectual property rights, remain exclusively with us and our Providers. Except for the limited rights expressly granted in these Terms, no rights, licenses, or interests in or to the Services are granted to you, whether by implication, estoppel, or otherwise.

7. Software

By using our Services, you agree to manual or automatic updates to our software, including our apps or downloaded software (together, "Myvue Software"), that may occur without advance notice to ensure you have the latest version. Myvue Software may include open-source software. The Services may include components subject to separate third-party or open-source license terms. In the event of a conflict between these Terms and any such applicable third-party terms, the third-party terms will control solely with respect to the specific component to which they apply and only to the extent of the conflict.

8. Third-party services

Our Services may use or be used in connection with third-party software, products, or services ("Third-Party Services"). Some parts of our Services may include Inputs and Outputs from those services ("Third-Party Input/Output"). Third-Party Services and Third-Party Input/Outputs (collectively, "Third-Party Content") are subject to their own terms. We do not control or accept responsibility for any loss or damage that may arise from your use of any Third-Party Content. We make no representations or warranties for such services and integrations. Your use of any Third-Party Content, services, and integrations is at your own risk and subject to any terms, conditions, or policies applicable to such third-party content. Third-Party Content does not expand your rights in the Services beyond those expressly granted in these Terms, except as required under the applicable license.

9. Subscriptions, billing, and payments

Fees and billing

You may be required to pay us fees to access or use our Services or certain features. If you purchase our Services, you are responsible for paying any and all applicable fees associated with your subscription, contract, or agreed-upon purchase. You're responsible for all applicable taxes, and we'll charge tax when required. If your payment cannot be completed, we may downgrade your account or suspend your access until payment is received.

If you purchase access to our Services, you must provide complete and accurate billing information ("Payment Method"). You agree that we may charge the Payment Method for any applicable fees and any applicable tax. If the fees are recurring or based on usage, you agree we may charge these fees and applicable taxes on a periodic basis. Except as expressly provided in these Terms or where required by law, all payments are non-refundable.

Service credits

For some of our Services, you may be allowed to purchase service credits in advance. All service credits are subject to our Service Credit Terms.

Additional fees

We may increase fees for our Services. If we charge additional fees, we will give you an opportunity to review and accept the additional fees before you are charged. Additional fees may apply for additional features of the Services that we may make available. If you do not accept any such additional fees, we may discontinue your access to the Services or those features. You agree that we will not be held liable for any errors caused by third-party payment processors used to process fees paid by you to us.

Subscription term and automatic renewal

For paid subscriptions, we will automatically charge your payment method on each agreed-upon periodic renewal until you cancel. If your Subscription has a minimum term (the "Initial Term"), we will let you know during the order process. Your Subscription will last for the Initial Term and will automatically renew for an additional term equal in duration to the Initial Term (each, a "Renewal Term") until you cancel.

Changes

We reserve the right to change our prices from time to time. If we increase our subscription prices, we will give you at least 30 days' notice and any price increase will take effect on your next renewal so that you can cancel if you do not agree to the price increase.

Cancellation

To request cancellation of your Subscription, please contact support@myvue.io. Except where required by applicable law, all payments are non-refundable.

If you entered into a Subscription with a fixed Initial Term (including multi-year agreements such as three-year contracts), cancellation will not relieve you of your obligation to pay all fees due for the full Initial Term or any Renewal Term. Upon cancellation, your access to the Services will continue through the end of the then-current Initial Term or Renewal Term for which fees have been paid or are payable under your agreement.

For month-to-month Subscriptions, cancellation will be effective at the end of the then-current billing period, and no partial refunds will be issued. These Terms do not override any mandatory rights you may have under applicable law regarding cancellation.

10. Termination and suspension

We reserve the right to suspend or terminate your access to our Services (or Subscriptions) or delete your account at any time without notice to you if we believe and determine:

We may also terminate your account if it has been inactive for over a year and you do not have a paid account. If we do, we will provide you with advance notice. If we terminate your access to the Services due to a violation of these Terms and you have a Subscription, you will not be entitled to any refund. If you have a Subscription, we may terminate the Subscription at any time for any other reason. Upon termination, we may at our option delete any Content or other data associated with your account. Sections 9 (with respect to fees outstanding) and 5–7, 11–13 will survive any expiration or termination of these Terms or a Subscription.

If you believe we have suspended or terminated your account in error, you can file an appeal by contacting account@myvue.io.

11. Disclaimer of warranties, limitation of liability, and indemnity

Disclaimer of warranties

Our Services, Outputs, and Actions are provided "as is" and "as available." Except to the fullest extent permissible under applicable law, we and our partners, affiliates, and licensors make no warranties (express, implied, statutory, or otherwise) with respect to the Services and disclaim any and all warranties — including warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, title, security, privacy, compatibility, and quiet enjoyment — and any warranties arising out of any course of dealing, trade usage, or course of performance. We do not warrant that the Services will be uninterrupted, accurate, or error-free, or that any Content will be secure or not lost or altered.
You accept and agree that any use of Inputs into our software and Outputs from our Service is at your sole risk and you will not rely on Output as a sole source of truth or factual information, or as a substitute for professional advice.

Limitation of liability

Neither we nor any of our partners, affiliates, licensors, or their respective investors, directors, officers, employees, agents, successors, or assigns (collectively, the "Myvue Parties"), will be liable for any direct, indirect, incidental, punitive, special, consequential, or exemplary damages — including damages for loss of profits, goodwill, use, or data — arising out of or in any way related to the Services, the Content, the Actions, or these Terms, whether based in contract, tort (including negligence), strict liability, or other theory, even if any Myvue Parties have been advised of the possibility of such damages, and even if the damages are foreseeable.
Myvue Parties' total aggregate liability to you for all damages, losses, and causes of action arising out of or in any way related to the Services, the Content, the Actions, or these Terms, whether in contract, tort (including negligence), or otherwise under these Terms, will not exceed the greater of the amount you paid for access to or use of the Services (if any) that gave rise to the claim during the three months preceding the date such damages, losses, and causes of action first arose, or one hundred dollars ($100). The limitations in this section apply only to the maximum extent permitted by applicable law, and we would not offer the Services to you under these Terms without these limitations.

The law in some jurisdictions does not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the terms above may not apply to you. In that case, these Terms only limit our responsibilities to the maximum extent permissible in that jurisdiction.

Indemnity

You agree to indemnify and hold harmless, to the extent permitted by law, us, the Myvue Parties, our affiliates, partners, and our personnel from and against any and all liabilities, claims, damages, expenses (including reasonable attorneys' fees and costs), and other losses arising out of or related to your breach or alleged breach of these Terms; your access to, use of, or alleged use of the Services, the Content, or the Actions; your Feedback; any products or services that you develop, offer, or otherwise make available using the Services; your violation of applicable law or any third-party right; and any actual or alleged fraud, intentional misconduct, gross negligence, or criminal acts committed by you or your employees or agents. We reserve the right to engage separate counsel and participate in or assume the exclusive defense and control of any matter otherwise subject to indemnification by you hereunder, in which case you agree to cooperate with us and such separate counsel as we reasonably request.

Myvue's affiliates, suppliers, licensors, partners, and distributors are intended third-party beneficiaries of this section.

12. Dispute resolution

You and Myvue agree to the following mandatory arbitration and class action waiver provisions.

Mandatory arbitration

You and Myvue agree to resolve any formal legal actions through final and binding arbitration. Before formal legal actions, the parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our Services, regardless of when the claim arose, even if it was before these Terms existed (a "Dispute"). You may opt out of any updates to these arbitration terms within 30 days after the update has taken effect by filling out the applicable form. If you opt out of an update, the last set of agreed-upon arbitration terms will apply. You will be notified by email used to access the Services or through in-product notification. If an administrator governs and controls your account, the administrator may be responsible for making you aware of the updated arbitration terms.

Informal dispute resolution

Before either party initiates a Dispute, both parties will attempt informal resolution. You agree to initiate this process by providing written notice of the Dispute. We will likewise provide written notice to you where applicable. The parties agree to engage in good-faith efforts to resolve the Dispute for a period of sixty (60) days from receipt of such notice. If the Dispute is not resolved within this period, either party may initiate arbitration as set forth in these Terms. During the informal resolution period, either party may request that the parties participate in an individual settlement conference, and both parties agree to do so in good faith. The statute of limitations and any applicable filing deadlines will be tolled during the informal resolution process.

Arbitration forum

If we are unable to resolve the Dispute, either of us may commence arbitration with National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures and/or Supplemental Rules for Mass Arbitration Filings, as applicable.

Myvue will not seek attorneys' fees and costs in arbitration unless the arbitrator determines that your claim is frivolous. The activities described in these Terms involve interstate commerce and the Federal Arbitration Act will govern the interpretation and enforcement of these arbitration terms and any arbitration.

Arbitration procedures

The arbitration will be conducted by video conference, if possible, but if the arbitrator determines a hearing should be conducted in person, the location will be mutually agreed upon, in the county where you reside, or as determined by the arbitrator, unless the batch arbitration process applies. The arbitration will be conducted by a sole arbitrator. The arbitrator will be either a retired judge or an attorney licensed to practice law in the state of Ohio. The arbitrator will have exclusive authority to resolve any Dispute, except that the state or federal courts of Toledo, Ohio will have the authority to determine any Dispute about enforceability, validity of the class action waiver, or requests for public injunctive relief. Any settlement offer amounts will not be disclosed to the arbitrator by either party until after the arbitrator determines the final award, if any. The arbitrator has the authority to grant motions dispositive of all or part of any Dispute.

Exceptions

This section does not require informal dispute resolution or arbitration of the following claims: (i) individual claims brought in small claims court; and (ii) injunctive or other equitable relief to stop unauthorized use or abuse of the Services or intellectual property infringement or misappropriation.

13. General terms

No assignment

These Terms are not allowed to be assigned or transferred by you without our permission. We may assign our rights and obligations under these Terms without restriction to any affiliate, subsidiary, or successor in interest of any business associated with our Services.

Changes to Terms

We reserve the right to amend, modify, or update these Terms at any time at our sole discretion. In the event of any such modification, we will notify you by posting the updated Terms on Myvue's website and, where reasonably practicable, by providing notice to the email address associated with your account or via in-app notification. Your continued use of the Services following the effective date of any such modification constitutes your acceptance of and agreement to be bound by the updated Terms. If you do not agree to the updated Terms, you must immediately cease use of the Services.

Changes to Services

We reserve the right, without notice to you at our sole discretion, to modify, update, enhance, or discontinue any features or functionality of the Services at any time, in whole or in part, including but not limited to adding or removing features, adjusting capacity limits, and modifying pricing. We will attempt to provide reasonable advance notice of any material changes where practicable. We will not be liable for any change to or any suspension or discontinuation of the Services or your access to them.

Suspension and discontinuation

We reserve the right to suspend or discontinue the Services, in whole or in part, at any time and for any reason at our sole discretion. We will endeavor to provide reasonable advance notice prior to any such suspension or discontinuation. Advance notice may not be feasible in urgent circumstances, including where necessary to prevent abuse, comply with applicable legal obligations, or address security or operational issues. To the fullest extent permitted by applicable law, we shall not be liable for any loss or damage arising out of or relating to any modification, suspension, or discontinuation of the Services.

Waiver

No failure or delay by us in exercising any right or enforcing any provision of these Terms shall constitute a waiver of such right or provision, nor does it mean we are waiving or giving up our right to enforce it in the future. Our failure to act on a violation does not constitute acceptance of that violation or a waiver of any of our rights.

Severability

Except as expressly provided in the Dispute Resolution section above, if any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms — in either case without affecting the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Entire agreement

These Terms, together with any terms expressly incorporated by reference, constitute the entire agreement between you and Myvue with respect to the Services and supersede all prior and contemporaneous agreements, understandings, or representations between you and Myvue relating to the same subject matter, whether written or oral, except as otherwise provided by any Service-specific terms.

Export controls and trade compliance

You must comply with all applicable trade laws, including U.S. sanctions and export control laws. You may not export, re-export, or provide access to the Services in or for the benefit of any U.S. embargoed country or territory, or to any individual or entity: (i) on the U.S. Treasury Department's list of Specially Designated Nationals; (ii) on any other restricted party list maintained by the Office of Foreign Assets Control; (iii) on the U.S. Department of Commerce Denied Persons List or Entity List; or (iv) otherwise prohibited or restricted under applicable trade laws. The Services may not be used for any end use prohibited by applicable trade laws, and your content or inputs may not include material or information that requires a government license for release or export. You represent and warrant that neither you nor anyone accessing or using the Services on your behalf, or using your account credentials, is such a person or entity or is located in any such country or territory.

Use of our brand

You may not use Myvue's name, logos, or other trademarks without our prior written consent. This includes, without limitation, using our brand in connection with any product or service other than the Services, or in any manner that suggests or implies affiliation, endorsement, or sponsorship by Myvue. To request permission, please contact marketing@myvue.io.

Governing law

These Terms will be governed by, and construed and interpreted in accordance with, the laws of the State of Ohio, without giving effect to any conflict of laws principles. Except as provided in the Dispute Resolution section above, any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Toledo, Ohio, and you and Myvue each irrevocably submit to the personal and exclusive jurisdiction of those courts and waive any objection to the laying of venue in such courts. By accessing or using the Services, you waive any claims that may arise under the laws of any other jurisdiction.
